Corporate Estate Planning Lawyer

Our client a dynamic, downtown Ottawa law firm is currently seeking an experienced Corporate Estate Planning Lawyer to join their firm. Our client prides themselves on having a collaborative, collegial, creative team, and simply love the law. They serve a wide variety of clients, from individuals to international corporations.
Your Responsibilities:
• The Corporate Estate Planning lawyer will be working with private companies, high net-worth individuals and family businesses to help them with their business and estate planning needs, implement corporate reorganizations, advise, develop and execute family trusts, offer restructuring recommendations, succession planning, tax planning and other business structure tools.
• Trusts and Estates – Establishing Family Trusts and use of Wills in estate planning
• Incorporations, Amalgamations, Amendments, Dissolutions, Revivals, Continuances
• Tax driven transactions including corporate reorganizations, estate freezes, purifications, s.85 rollovers, s.86 exchanges
• Preparation of commercial contracts: shareholders agreements, loan agreements, management contracts, distribution agreements and other commercial agreements
Your Requirements:
• Three to seven years of work experience as an Associate Lawyer in Ontario, with a practice focus on Corporate, Estate Planning and Tax planning
• Member of the Ontario Bar, in good standing
• Corporate law experience (Incorporations, Amendments, Amalgamations, corporate reorganizations, share purchase agreements, etc.)
• Very strong technical skills using: Microsoft Office, Document Management software, Legal Accounting software (e.g. Soluno or PC Law), docketing, billing time
• Ability to work closely, and in collaboration with other lawyers, clerks, and staff
• Strong interpersonal skills to interact directly and diplomatically with counsel and other legal / accounting professionals outside of the firm, as well as with our clients
• Superior organization and attention to detail to effectively manage accurate files
• Excellent English verbal and written communication skills
• Experience in and/or exposure to tax law would be an asset
• Experience in or exposure to charities and non-profit law would be an asset
• Demonstrates discretion and professionalism when handling confidential information and sensitive issues
