Meridia Recruitment Solutions has partnered with a well-established, full-service law firm in Ottawa to recruit a Corporate Associate to join its growing team. This opportunity is ideal for a motivated legal professional seeking to expand their corporate and commercial law practice while working on sophisticated transactions for a diverse client base ranging from entrepreneurs and private companies to larger organizations.

The successful candidate will support a broad range of corporate and commercial matters, including mergers and acquisitions, corporate reorganizations, commercial transactions, and general corporate governance matters.

YOUR RESPONSIBILITIES:

 • Advise clients on a variety of corporate and commercial law matters.
 • Manage corporate transactions, including incorporations, amalgamations, amendments, dissolutions, revivals, and continuances.
 • Assist clients with corporate structuring and tax-driven reorganizations, including estate freezes, rollovers, and share exchanges.
 • Independently manage share and asset purchase transactions, including the preparation and negotiation of transaction documents and closing deliverables.
 • Draft, review, and negotiate a variety of commercial agreements, including shareholder agreements, loan agreements, management agreements, distribution agreements, and other commercial contracts.
 • Collaborate with clients and external advisors to deliver practical, business-focused legal solutions.
 • Build and maintain strong client relationships through responsive and strategic legal advice.

YOUR REQUIREMENTS:

EDUCATION & EXPERIENCE

 • Member in good standing with the Law Society of Ontario.
 • Minimum of 2 years of post-call experience practicing corporate and commercial law in Ontario.
 • Experience supporting mergers and acquisitions, corporate transactions, and corporate reorganizations.
 • Experience drafting and negotiating commercial agreements and related transaction documents.
 • Exposure to not-for-profit, tax, or securities law would be considered an asset.

 • Excellent verbal and written communication abilities.
 • Ability to work independently while contributing to a collaborative team environment.
 • Strong interpersonal skills with the ability to build and maintain client relationships.
 • Highly organized with exceptional attention to detail.
 • Proficiency with Microsoft Office and legal practice management tools.
 • Demonstrated professionalism, discretion, and sound judgment when handling confidential information.

​​​​This is a current vacancy; salary range is $100,000 – $150,000.
