Meridia Recruitment Solutions has partnered with IESO Nova Scotia to recruit an experienced and motivated General Counsel & Regulatory Affairs to join their senior leadership team in Halifax, Nova Scotia.

IESO Nova Scotia is a new organization being created by the Nova Scotia Government to be operational in 2025. IESO Nova Scotia will reform the way Nova Scotia’s energy system is managed by assuming responsibility for managing the power system in real-time, achieving clean energy goals and planning for the province's future energy needs.

The General Counsel & Regulatory Affairs plays a critical leadership role as part of the organization’s leadership team. This foundational executive role will shape the legal, governance, and commercial frameworks of the organization and play a critical role in advancing its mission of competition and decarbonization.

Your Responsibilities:

• Serve as Corporate Secretary to the Board, leading the development and implementation of governance frameworks, board policies, and meeting protocols. 
• Provide strategic legal counsel to the CEO and executive leadership team on a wide range of issues including regulatory compliance, commercial transactions, and organizational risk. 
• Lead the legal structuring, negotiation, and execution of high-value procurement contracts, including billion-dollar infrastructure and service agreements with independent contractors. 
• Establish and manage the legal department, including recruitment, oversight of external counsel, and development of internal legal processes and systems. 
• Oversee the regulatory strategy, including engagement with government agencies, regulators, and public stakeholders to support the organization’s revenue model and policy objectives. 
• Support the creation of the organization’s legal infrastructure from the ground up, including bylaws, internal policies, and risk management protocols. 
• Develop and implement compliance programs related to privacy, anti-corruption, ESG, and other relevant areas. 
• Act as a key contributor to strategic planning, helping shape the future of Nova Scotia’s energy system and ensuring legal alignment with operational goals. 
• Represent the organization in external legal matters, including regulatory hearings, stakeholder negotiations, and public consultations. 
• Foster a culture of pragmatic problem-solving, enabling the organization to navigate complex legal challenges while maintaining momentum toward its mission.
• As an enterprise leader working with the CEO and senior team to set the priorities for the organization, lead by example and shape the culture of the organization.
• Lead and actively participate in fostering a high-performing, inclusive enterprise organizational culture grounded in collaboration, accountability, safety, and excellence. 
• Recruit, build, and develop a dynamic and diverse team, and coach and support them to reach their individual potential and drive organizational success. 
• Champions and models commitment to workplace policies and environments that strengthen diversity, equity, inclusion and commitment to Truth and Reconciliation

Your Requirements:

• Minimum 10 years of legal experience, with a strong track record of progressive responsibility. 
• Prior General Counsel or senior legal executive experience is considered a strong asset. 
• Demonstrated experience in commercial law, and corporate governance, including board advisory and corporate secretary responsibilities. 
• Deep understanding of regulatory frameworks in the energy, utilities, or public sector, ideally within a Canadian context. 
• Proven ability to lead or support complex commercial transactions, including procurement and infrastructure agreements. 
• Experience managing external counsel and legal budgets, with a focus on cost-effective legal operations. 
• Background in a major Canadian law firm or in-house legal department within the public or energy sectors. 
• Strong leadership and interpersonal skills, with the ability to influence and collaborate across executive and board levels. 
• A self-starter with the ability to build legal functions from scratch and thrive in a start-up environment. 
• Demonstrated commitment to diversity, equity, and inclusion in leadership and decision-making.
